Terms and Conditions of Use

Simwa — Web-based WhatsApp Management Platform

Applies to all users (Users, Sub-Accounts, and Admins).

Note on language. This is an English translation provided for convenience. The Indonesian version of these Terms is the legally binding text. If the two versions differ, the Indonesian version prevails.


1. Definitions

2. Acceptance of Terms

By registering, signing in, or using this platform, you confirm that:

  • You have read and understood these terms and conditions in full.
  • You agree to be bound by the provisions set out below.
  • If you use the platform on behalf of a business or another entity, you confirm that you have the authority to bind that entity to these terms.

3. Description of Service

This platform provides:

  • WhatsApp Messaging — Read and send messages (text, images, replies) from the browser.
  • Broadcast — Send messages to a contact list with automatic delays between messages to reduce the risk of spam detection.
  • Custom Data Management — Create tables, columns, and data records to suit your business.
  • Default Tables — Customers, Packages, and Transactions tables created automatically.
  • Auto-Reply — Automatically respond to incoming messages from new conversations.
  • Google Sheets Sync — Export Transactions table data to Google Sheets via OAuth.
  • Team Management — Invite staff with configurable permissions.
  • Subscription System — Trial, monthly, and annual subscription plans.

The platform connects to WhatsApp through a WA Gateway. This platform is not an official Meta or WhatsApp Inc. product and is not affiliated with either of them.


4. Accounts and Security

4.1 Account Requirements

  • One email address may only be used for one account.
  • You are responsible for keeping your password confidential and your account secure.
  • All activity carried out through your account is your responsibility.

4.2 Sub-Accounts (Staff)

  • The Owner is fully responsible for every action taken by the Sub-Accounts they invite.
  • The Owner must promptly deactivate any Sub-Account that no longer has permission to access the platform.
  • Sub-Account access is limited to the scope the Owner sets (per module and per table).

4.3 Account Deactivation

The Operator may deactivate a User account at any time without prior notice if a breach of these terms is found. Owners may also deactivate their own Sub-Accounts at any time.


5. Use of the Broadcast Feature

This section matters a great deal. Misuse of the Broadcast feature is the leading cause of WhatsApp numbers being blocked by Meta. Please read it carefully before using this feature.

5.1 Risk of Being Banned by Meta/WhatsApp

This platform connects to WhatsApp through an unofficial method. Meta operates automated systems that detect sending patterns it considers spam. A number detected sending bulk messages aggressively may be blocked temporarily or permanently by Meta, which is outside this platform's control.

The Operator is not liable for any ban or restriction placed on your WhatsApp number as a result of using the Broadcast feature, whether or not you followed the guidance provided.

5.2 Built-in Protection Mechanisms

The platform automatically applies the following anti-spam-detection measures to every Broadcast:

  • Delay between messages: 10–18 seconds, randomised, between each send.
  • Batching: A maximum of 20 numbers per batch.
  • Delay between batches: A 6-minute pause before the next batch.

These measures run automatically on the gateway side and cannot be disabled. For a list of 80 numbers, the estimated total send time is 30–45 minutes — this is normal and part of the protection.

5.3 Your Obligations Regarding Broadcast

Even though the platform applies automatic delays, you remain responsible for ensuring the following.

a. Content Quality

  • Recipients know you or have interacted with you before.
  • Messages contain no links that WhatsApp could detect as phishing or spam.
  • Message content is relevant and not repetitive, aggressive promotion.

b. Recipient List Quality

  • Do not broadcast to unknown numbers or to lists bought or rented from third parties.
  • Do not broadcast to numbers that have already blocked you.
  • The more recipients who report your messages as spam, the higher the risk of a ban.

c. Frequency

  • Avoid broadcasting to the same list more than once in 24 hours.
  • Do not run several broadcast sessions in parallel from the same number.
  • The platform enforces a minimum 15-minute cooldown between broadcasts — do not attempt to work around this limit.

5.5 Limits of Liability Regarding Broadcast

  • The anti-ban measures the platform provides are a safeguard, not a guarantee.
  • A ban or restriction on your WhatsApp number is a risk you bear entirely.
  • The Operator will not compensate for losses (financial, reputational, or operational) resulting from a banned number.
  • The platform cannot restore a number that Meta has blocked — that process rests entirely with Meta and WhatsApp Inc.

6. Use of the Auto-Reply Feature

  • The Auto-Reply feature sends automatic messages to incoming new conversations.
  • Sending automatic messages to too many new contacts in a short period can trigger spam detection by Meta.
  • You are responsible for the content of your auto-reply messages and their effect on your WhatsApp number's reputation.
  • The Operator is not liable for a banned number resulting from use of the Auto-Reply feature.

7. Google Sheets Sync

  • The Google Sheets sync feature uses OAuth 2.0 on behalf of your own Google account.
  • By enabling this feature, you grant the platform permission to read and write data to the spreadsheet you specify.
  • The Operator does not store your spreadsheet contents — only the OAuth token, which is kept for authentication purposes.
  • You may revoke access at any time through your Google account settings.
  • The Operator is not liable for loss of or damage to data in Google Sheets caused by a failed sync.

8. WhatsApp Connection and Sessions

8.1 Use of an Unofficial Method

The platform uses an unofficial WhatsApp Web connection method to connect to WhatsApp. This method is not supported or endorsed by Meta/WhatsApp Inc. You use it entirely at your own risk.

8.2 Risk of Session Disconnection

  • A WhatsApp session may disconnect at any time due to changes in Meta's policies, WhatsApp updates, or account restrictions.
  • The platform does not guarantee continuous availability of the WhatsApp connection.
  • The Operator is not liable for lost messages, notifications, or data caused by a disconnected session.

8.3 One Session per Account

  • Each User account may only have one active WhatsApp session.
  • Connecting the same number to multiple sessions or other third-party services at the same time significantly increases the risk of a ban.

9. Prohibited Content

You may not use this platform to send, store, or process the following:

  • Spam, phishing, or fraud of any kind.
  • Content that breaches the laws in force in Indonesia or in your country.
  • Content that harasses, threatens, or harms others.
  • Sexually explicit material, content involving minors inappropriately, or content inciting violence.
  • Content that infringes the intellectual property rights of others.
  • Malware, viruses, or other malicious code.

10. Privacy and Data

10.1 Data We Store

The platform stores the following data:

  • Account data (email, name, password hash — passwords are never stored in plain text).
  • Incoming and outgoing WhatsApp messages (stored encrypted in the database for your convenience and privacy; because of this encryption, the Operator also cannot read your message contents).
  • Custom data records you create (tables, columns, records).
  • Sub-Account activity logs, for auditing by the Owner.
  • Media sent or received through the application (stored on the server filesystem).
  • Google OAuth tokens (encrypted, used solely for Google Sheets sync).

10.2 Data Responsibility

  • You are responsible for the validity and security of the data you store on the platform, particularly your customers' data.
  • Make sure you have lawful permission to store and process other people's data, including your customers' phone numbers.
  • The Operator does not sell your data to third parties.

10.3 Data Deletion and Retention

  • When your account is deleted or your subscription ends, your data is kept for a 90-day retention period.
  • After 90 days, the Operator may permanently delete all data associated with your account.
  • You may request earlier deletion of your data through the contact channels provided.

11. Subscriptions and Payment

11.1 Subscription Plans

The platform is available in several plans: trial, monthly, and annual. Plan details, prices, and included features are listed on the Subscription page within the application.

11.2 Trial

  • The trial period is one per account.
  • Using a different identity to obtain additional trials is a breach and may result in the permanent blocking of all related accounts.

11.3 No Automatic Refunds

Unless the Operator states otherwise in writing, payments already made are non-refundable. If you experience a significant technical problem caused by a platform fault, the Operator may offer compensation in the form of a subscription extension, at the Operator's discretion.

11.4 Price Changes

The Operator may change plan prices at any time. Price changes apply to the next renewal, not to the period currently running.


12. Service Availability

  • The platform is provided "as is" without any guaranteed uptime.
  • The Operator may carry out maintenance that causes temporary service disruption, with or without prior notice.
  • The Operator is not liable for losses arising from downtime, whether planned or unplanned.

13. Force Majeure

The Operator is not liable for any failure or delay in meeting its obligations caused by matters outside its reasonable control, including but not limited to:

  • Sudden changes to WhatsApp/Meta policies, APIs, or security systems.
  • Service disruption from infrastructure providers (servers, databases, networks).
  • Natural disasters, pandemics, or national emergencies.
  • Blocking or restrictions imposed by regulatory authorities.
  • Cyber attacks on third-party infrastructure used by the platform.

In a force majeure event, the Operator will work to restore service as soon as possible and keep users informed of recovery status.


14. Limitation of Liability

To the extent permitted by applicable law, the Operator is not liable for:

  • Loss of data, messages, or media caused by technical failure.
  • Business losses, lost revenue, or other indirect losses.
  • Actions of third parties, including Meta/WhatsApp Inc. (number blocking, session disconnection, policy changes).
  • Damage arising from use of the platform in a way that does not follow this guidance.
  • Data loss caused by weaknesses in third parties (hosting providers, databases, and so on) outside the Operator's control.

The Operator's total liability in any situation will not exceed the subscription amount you paid in the last one (1) month.


15. Breaches and Enforcement

15.1 Consequences of a Breach

The Operator may take the following action if a breach is found:

  • A written warning by email or in-app notification.
  • Temporary restriction of certain features (particularly Broadcast and Auto-Reply).
  • Temporary account deactivation.
  • Permanent account deactivation with no refund of the remaining subscription.

15.2 Serious Breaches (Immediate Permanent Deactivation)

The following result in permanent account deactivation without warning:

  • Using the platform for activity that is illegal under Indonesian law.
  • Committing fraud against the Operator or other users.
  • Attempting to access another user's account data without authorisation.
  • Attacking the platform's infrastructure.
  • Using the platform to send bulk spam in flagrant and repeated breach of WhatsApp's policies.
  • Creating multiple accounts to work around trial limits or platform restrictions.

16. Changes to These Terms

The Operator may change these terms at any time. Significant changes will be communicated through:

  • An in-app notification, or
  • An email to your registered address, at least 7 days before they take effect.

Continuing to use the platform after a change takes effect is treated as acceptance of the updated terms. If you do not agree to a change, you may stop using the platform and request account deletion before the change takes effect.


17. Governing Law

These terms are governed by the laws of the Republic of Indonesia. Disputes that cannot be resolved amicably will be settled through the legal channels applicable in Indonesia.

For questions, reports of breaches, or data-related requests, contact the Operator through the channels available within the application.


By using this platform, you confirm that you have read, understood, and agreed to all of the terms above.
